These Terms of Use ("Terms") constitute a legally binding agreement between you (including any business entity you represent) and Labaiq For Programming And Designing ("Labaiq", "we", "us", or "our") governing your access to and use of the B2B marketplace platform accessible at www.labaiq.com and all associated services, APIs, tools, and mobile applications (collectively, the "Platform").

By registering for, accessing, or using the Platform, you confirm that you have the legal authority to enter into these Terms on behalf of yourself or your business, and that you agree to be bound by them. If you do not agree to these Terms, you must not use the Platform.

1. Eligibility

You must be at least 18 years of age to create an account.
You must represent a legally registered business, company, sole proprietorship, or professional entity.
You must have the legal authority to enter into binding contracts on behalf of your organisation.
Your business must not be on any sanctions list issued by Qatar, the UN, or any relevant international authority.
Users who have previously been suspended or banned from the Platform are not permitted to register a new account without prior written approval from Labaiq.

2. Account Registration and Security

To access the full features of the Platform, you must register a business account. By registering, you agree to:

Provide accurate, current, and complete information about your business.
Maintain and promptly update your account information.
Keep your login credentials confidential and not share them with third parties.
Notify Labaiq immediately of any unauthorised access to your account.
Be solely responsible for all activity that occurs under your account.

Labaiq reserves the right to suspend or terminate accounts that contain false, misleading, or unverifiable information.

3. Platform Services

3.1 B2B Marketplace Features

The Platform offers the following core services:

Business directory listings for companies operating in or targeting the Qatari market.
Product and service catalogue publishing.
Buyer-seller matchmaking and lead generation tools.
B2B classified advertisements and tender postings.
Premium featured listings, banner advertisements, and sponsored content placements.
Internal messaging and enquiry management tools.
Analytics dashboards for tracking listing performance.

3.2 Subscription and Paid Services

Certain features of the Platform are available only through paid subscription plans or one-time fees. Details of current pricing are available on the Platform. Labaiq reserves the right to modify pricing with reasonable notice.

4. Acceptable Use Policy

You agree to use the Platform only for lawful business purposes and in accordance with these Terms. You must NOT:

Post false, misleading, defamatory, or fraudulent listings, profiles, or content.
Impersonate any business, individual, or organisation.
Upload malware, viruses, or any harmful code.
Scrape, harvest, or extract data from the Platform using automated tools without express written permission.
Use the Platform to send unsolicited commercial communications (spam).
Engage in price fixing, bid manipulation, or any anti-competitive behaviour.
Post content that violates Qatar's laws, Islamic values, or public morality standards.
List products or services that are illegal, counterfeit, stolen, or otherwise prohibited.
Circumvent or attempt to circumvent any security features of the Platform.
Use another user's account or access the Platform on behalf of a competitor to gain intelligence.
Create multiple accounts to circumvent restrictions or gain unfair advantages.

5. Content Standards and Listing Rules

5.1 Your Responsibility

You are solely responsible for all content, listings, images, documents, and communications you publish on the Platform. All content must be:

Accurate and not misleading about the product, service, price, or your business identity.
Compliant with Qatari commercial, consumer protection, and advertising laws.
Free from intellectual property infringement (copyright, trademarks, trade secrets).
Respectful and not harmful to other users or third parties.

5.2 Prohibited Content

Products or services that are illegal under Qatari law.
Counterfeit or unauthorised replica goods.
Content that is sexually explicit, promotes violence, or incites hatred.
Misleading pricing, availability, or feature descriptions.
Duplicate listings for the same product or service by the same seller.

5.3 Content Moderation

Labaiq reserves the right — but does not assume the obligation — to review, edit, reject, or remove any content at its sole discretion without notice. Removal of content does not entitle you to any refund of fees paid.

6. Intellectual Property

6.1 Labaiq's IP

All Platform content, design, software, trademarks, logos, and branding elements are the exclusive property of Labaiq or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended business purposes. No other rights are granted.

6.2 User Content Licence

By posting content on the Platform, you grant Labaiq a worldwide, royalty-free, non-exclusive licence to host, display, distribute, modify, and use such content for the purpose of operating and promoting the Platform. You retain ownership of your content.

6.3 Feedback

Any feedback, suggestions, or ideas you submit to Labaiq may be used by Labaiq without restriction or compensation to you.

7. Third-Party Links and Integrations

The Platform may contain links to third-party websites or integrate with third-party services. Labaiq does not endorse, control, or accept responsibility for the content, privacy practices, or availability of third-party services. Your use of third-party services is at your own risk.

8. Limitation of Liability

To the maximum extent permitted by Qatari law, Labaiq and its directors, employees, agents, and affiliates shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages.
Loss of profits, revenue, data, or business opportunities.
Damages arising from your reliance on information posted by other users.
Disruptions, errors, or downtime of the Platform.
Unauthorised access to your account or data due to your negligence.

Labaiq's total liability to you for any claim shall not exceed the amount you have paid to Labaiq in the 3 months immediately preceding the event giving rise to the claim.

9. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. Labaiq does not warrant that the Platform will be uninterrupted, error-free, or free from viruses. Labaiq does not verify the accuracy of user-submitted content or the legitimacy of businesses listed on the Platform beyond its standard verification process.

10. Indemnification

You agree to indemnify, defend, and hold harmless Labaiq, its affiliates, directors, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from your use of the Platform, breach of these Terms, or violation of any third-party rights.

11. Suspension and Termination

11.1 By Labaiq

Labaiq may suspend or terminate your account, with or without notice, if:

You breach these Terms or any Labaiq policy.
Your account activity poses a risk to the Platform, other users, or Labaiq.
Required to do so by applicable law or government directive.
Your account is inactive for more than 12 consecutive months.

11.2 By You

You may terminate your account at any time by contacting us at [email protected]. Termination does not entitle you to a refund of any pre-paid fees except as provided in our Refund Policy.

11.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Your public listings may be removed. Data may be retained in accordance with our Privacy Policy and legal obligations.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Qatar. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Doha, Qatar. Labaiq encourages users to first attempt to resolve disputes through direct communication or mediation before initiating formal legal proceedings.

13. Modifications to Terms

Labaiq reserves the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a prominent notice on the Platform. Continued use after the effective date constitutes acceptance. If you do not agree to the changes, you must stop using the Platform and may terminate your account.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
